For me... Interior and exterior styling, the Benz wins. For driving and road-handling capabilities, the M5.
A few people have brought up the visibility issue. I have experienced this first hand. A cousin of mine purchased a CLS55 during the middle of last yr. He complained of the limited range of site due to the size of the windows. I sat in his car to see what he was talking about and he was right.
We talked briefly last Oct, said he's thinking about getting rid of the CLS55 in about a yr. Only reason he picked it up is becuase the dealer gave him a phenomenal deal on a lease return that had been turned in after a yr and had extremely low mileage on it.
Anyhow, not to ramble on but I'd take the M5 over the CLS55 just because I love driving and getting adventurous around the bends and twisties

Tough choice, both the M5 and the CLS 55/63 are awesome high performance cars. It'll just come down to your preferences. As a daily driver, the CLS would probably be a better choice. But if you're really going to push the car to the limit, the M5 wins. The M5 is definitely the "driver's car", there are so many settings you can adjust...it's crazy!
Styling is very subjective. IMO, the CLS is the better looking car.
As for the 55 versus the 63, once again, comes down to what you prefer. The supercharged 55 engine is a torque monster. It's downright violent off the line when you mash the gas. Awesome engine, and I love driving my friend's E55 and SL55. Oh, and if you plan to mod the engine, the 55 is your choice.
The 63 engine is definitely the more refined engine. More HP but less torque than the 55. But make no mistake, it is still fast. I believe the 0-60 time (per MB) for the CLS63 is the same as my E63, 4.3 seconds.
Just test drive all the cars and see what you like. You really can't go wrong

M5 is very capable, but ugly inside and out.
CLS is less capable, more of a straight line muscle car, but very nice inside and out.
I'd get an E63 instead.

Both are way overpriced, but it comes down to a choice between them, take the M5. I think you will like it a lot more in day-to-day driving (you can't beat BMW steering and chassis systems), and it has windows you can actually SEE out of. The CLS looks like a barge was dropped on it.
Neither car, though, is likely to have reliable electronics...prepare to spend at least some time in the service bin.

Both are superb. The M5 is an animal but it looks like one too. The CLS is more subdued in its excellence but just a beast in AMG form.
The 55 is faster than the 63 but its not that much of a difference.
Tough choice for me, I am a sucker for the M5 heritage vs the CLS beautiful looks.
I can't decide.
