I went to the acura dealership today to look at a 2002 acura tl with 89k miles, silver exterior, and black interior. My car is a 2001 lexus es300 with 136k miles and gray exterior and black interior, all service records one owner and basically dully loaded. i just got a a call from the dealership and got offered....7500 DOLLARS for a trade in on my car and i could pick up the tl for 3 grand cahs on top. I really dont know what to do. My car is in a little bit better condition, but that trade in value is incredible. I'm just in a glass case of emotion right now.

They were competing cars. I looked at the Acura TL Type-S because it had these features that the ES for the most part didn't:
- 5 Spd
- Tiptronic
- Rear Air Vents
- Navigation
- Dual Exhaust
- HID's
^It's basically sportier than the ES but some say less comfortable. I think it has 50+ hp and does 0-60 in over a second less than.
It seemed from what I saw that even with all these features, a 2001 TL Type-S and 2001 ES300 were going for about the same prices (give or take 1k) used. The deal you're being offered isn't bad, but I personally prefer the exterior, interior and comfort of the ES and therefore I'd recommend you stick what you have.
However, if you're really set on getting a 2nd Gen TL then see if you can get the TL for 10k, meaning paying 2.5k on top of the trade in for your ES. You could probably get a little more if you sold your ES privately, but I don't think 7.5k is all that bad.

Avoid like the plauge. Made in Ohio, ES made in Japan. The 2nd gen falls apart over time, trim pieces are cheap, leather is horrid and HID bulbs go out. Then you have to worry about the tranny which can go at any time/multiple.
The ES is built 10 times better and over time this is much more apparent.

I don’t know how much of a change has happen between 99 and 02 TL but my sister 99 TL trans die on her at around 110k miles. Most of the miles are from highway. Cost was $1400 to get it fix. And this Saturday her radiator literally exploded where the hose and radiator are connected at top; leaving an oversize quarter hole. I was able to bend and break it off in pieces!
I definitely would stick with the ES unless you really wanted the TL. If you are looking for a new upgrade in a sportier car, consider a 2nd GS 300 (V6) or GS400/GS430 (V8). The cost is about the same on today’s market with the TL.

In terms of reliability, according to Consumer Reports:
The 2002 Accura TL received an overall rating of "Better than Average" with the only MAJOR Problem Area being the Transmission.
The Lexus 2001 ES300 received a rating of "MUCH better than Average", with no major problem areas.

I'd stay the hell away. Not trying to be a Lexus snob, but i love the ride, the quiet, the well put together interior/exterior - you can't beat it. Especially not the TL, probably because its an Accord with a facelift & leather seats.
The transmission issue is big. Another poster on the boards local to me, had his for less than a year, and one day driving - BOOM! There goes the tranny, out of the blue, on a maintained car. This may seem like a minor quirk but its not, there isn't any reason for it to do that, especially if you take care of the car and not beat the **** out of it!
Get some coilovers, and it will be a night 'n day difference. I don't have some but this is ALWAYS the case with every make/model. Coilovers are 'the thing' to do for significant handling changes.
Very sound advice, i agree fully.
