Fwiw, after having made the switch, we've never looked back w/ any second thoughts. Now, we're wondering if and when the 460's are to be considered, although the 430's have been (subjectively) the perfect car, especially our CL although my better half's ML is an absolute stunner in Flint Mica.

I would say the price of the car the OP mentions seems to be a very good price. You just have to be sure you want the UL for the reasons many have mentioned. As Ill never sit in the back seat of my car and didnt want the air suspension, as well as the fear of pricey perspective fixes in the future, I took the UL off of my shopping list. If you want an UL, Id go for it.
As for the LS400 to 430 question, I would say that theyre pretty different cars and in most respects, the 430 really is superior. Its just a lot more car and technology, and arguably (04-06 in my opinion) a lot more contemporary in appearance.

The LS400 was always the car I wanted, but when the time came to get one, I didn't want to buy a 10+ year old car.
I bought the " basic" LS - no nav, no air suspention, no Mark Levinson, no back up camera, no laminated glass, no extra leather, no reclining/massaging seats, no adaptive cruise control and I am very happy.
