Is the 04-06 facelift *really* worth it?

After having three 04's and one 01, I would say go for the 04-06. The look of the car as well as the 6 speed is well worth it. My 01 not only seemed slower but I g-teched all of the cars 0-60. The 01 was consistent 6.1-6.3 where as the 04's were consistent at 5.6-.5.8. It doesn't sound like much of a difference but it was noticeably to me. The parking sensors and the smart key were also a nice option that I grew accustom to as well.

Agree completely on Smart Key and sensors. I wouldn't have specifically looked for either. LOL had a learning curve w/ the Smart Key. Tried to use like a standard electronic key from 15' away. Nothing. Pushed the button standing next to the car w/o results (not realizing the door had opened). Took time to stop physically putting key into ignition slot. Started to have visions of expensive key replacement. Now? Am completely spoiled. Same w/ the sensors. Also unexpectedly useful while driving. An idiot almost slammed into the left front of my car. Sensors lit up. I had enough time (barely) to avoid. Another option I didn't know I needed

It's worth the upgrade if you like the looks of the 04+ better.

To be honest I recommend going with a base model either way and adding your own navigation, bluetooth, and back up camera. I have an Ultra Luxury 05 and a base model 02, and the technology in the 05 is so old and outdated. The base model looks better with an aftermarket radio and there is less complicated stuff that can break on it.

Agree on base for all your reasons. I've debated buying an 05-06 Base and doing the upgrades. It's hard to find a nice LS these days. There's the all important color combo too. Sport is impossible so I'd have to redo suspension. My 04 ML is cross country reliable so the compromise is do the $500 NAV/BT upgrade and call it good. Still uses the factory display but I've had that redone. Maybe stock up on ML door speakers (sub totally rebuilt). Past owner did a new factory ML amp. It can be rebuilt when needed. Buy 460 or German as an alternative car. Somehow that just doesn't appeal. We all know it's difficult to duplicate the comfort and quality of a good 430.
